GENERAL TERMS AND CONDITIONS PERTAINING TO THE USE OF SERVICES PROVIDED BY PLEIMO SA

WHEREAS PLEIMO (The Company) is a company registered under the Laws of Luxembourg under the trade registry number B 152117 with its registered office at 3, rue Guillaume Kroll, Luxembourg.

PLEIMO operates a web based platform and related services under www.Pleimo.com ("the Web Site" or "the service")

IT IS HEREBY AGREED AND UNDERSTOOD THAT ACCESS TO AND USE OF THE PLEIMO WEB SITE (www.pleimo.com) IS SUBJECT TO FULL AGREEMENT BY THE USER TO THE PRESENT TERMS AND CONDITIONS AND IS GRANTED UNDER THE CONDITION THAT ALL TERMS OF THE PRESENT TERMS AND CONDITIONS ARE DUTIFULLY ACCEPTED. SUCH ACCEPTANCE IS CONFIRMED THROUGH CLICKING ON "I AGREE" AT THE END OF THIS DOCUMENT. OTHERWISE, CLICKING ON "I DO NOT AGREE" WILL LEAD BACK TO THE HOME PAGE OF THE WEB SITE.

1. BECOMING A USER

In order to gain access to the services (the "Services") offered by the Web Site, registration as a user is compulsory. This registration may be terminated by Pleimo or a user at any time. Upon termination of registration as a "user", access to the Web Site or the Services will no longer be granted to this user.

It is mandatory that all information provided during the registration process and at any time thereafter will be true, accurate, complete, and current and that it will be promptly updated such that it is, at all times, true, accurate, complete, and current. Pleimo may use all Registration Information, subject to protection of user's privacy according to Pleimo's privacy policy ( available here) and, as the case maybe, local laws. Acceptance of the present terms and conditions automatically entails acceptance of Pleimo's privacy policy and consent to have personal data used by Pleimo in accordance withthe Privacy Policy.

It is the responsibility of users to verify and warrant that, under laws of their country of origin or residence, they are legally authorized to access the Web Site or make use of the Services or, a the case maybe, to provide Pleimo with verified parental consent. For the record, users are aware that some content available on the Web Site may be inappropriate for minors.

2. GOOD BEHAVIOR

It is of the essence that users, at all and any time, do not use the Web site to upload, post, email, transmit or otherwise make available any Content that could be deemed by Pleimo to be harmful, threatening, abusive, harassing, vulgar, obscene, hateful, or racially, ethnically or otherwise objectionable, impersonate any person or entity, or falsely state or otherwise misrepresent yourself or your affiliation with any person or entity, upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; or use or attempt to use another user's account, or create a false identity using the Services or the Web Site, harvest or collect email addresses or other contact information of other Web Site users by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications, use automated scripts to collect information from the Web Site, use the Web Site in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Web Site.

3. PUBLISHING AND CONTENT.

Users hereby acknowledge and agree that they are solely responsible for all materials they post or publish on the Web Site, including without limitation, information, code, data, text, software, music, sound, links, photographs, pictures, graphics, video, chat, messages, files and any other materials ("Content"). In addition, users represent, warrant and agree that no Content submitted by them or through their account will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material and that they have all legal rights necessary to publish any Content on the Web Site or that they own such Content.

Pleimo shall, at all times, have the right to refuse to include and/or to cause the removal of any or all Content for any reason and at its sole discretion and may disclose Content in order to comply with law enforcement, court orders, or the legal process; and/or protect the rights and safety of individuals; and/or settle disputes over intellectual property ownership.

Should any third party or user be aware of content available on the Web Site that may infringe copyright or property rights, mention thereof should promptly be notified to Pleimo using the email address copyright@pleimo.com and Pleimo will without delay manage the issue in accordance with their internal policy and relevant laws.

It is part of the Service to enable download of published content on the Website, for a fee, part of which revert to users. Users will therefore hold Pleimo harmless against any subsequent claim that could arise from the unlawful use of published content that would have been bought on the Web Site by a third party. It is however the willingness of Pleimo to protect copyrights and, consequently, Pleimo grants users the use of traceability and protection tools, preventing or blocking subsequent illegal distribution. However, it is the understanding of users that such technology might, in extreme circumstances, be fallible.

For the sake of clarity, Pleimo is not responsible for the content, accuracy or opinions expressed in third-party web sites that could be accessed following links available on the Web Site. Any user accessing third-party websites through the Web Site do so at their own responsibility and risk.

4. RESPONSIBILITY

Pleimo will in no case be liable to any user or third party arising, directly or indirectly, from use of the Web Site. Users agree to indemnify and hold the Company and its directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, or demand, including reasonable attorneys' fees, arising out of any claim, action, investigation or proceeding made or instituted by any third party due to or arising out of their breach of any representations or warranties made by them hereunder or their breach of any term of the present conditions, their use of the Services or the Web Site in violation of these conditions or their violation of any law or the rights of a third party and will not sue, assist in or be a voluntary party to assist in or be a voluntary party to, except as required by law, any action, suit, or proceeding against Pleimo for any claims, actions, suits, damages, liability, losses or expenses of whatever kind or however arising out of or relating to their use of the Web Site or the Services.

Pleimo is not responsible for any Content published on the Web Site.

5. MISCELLANEOUS

All trademarks, logos, trade dress and service marks on the Web Site are trademarks or registered trademarks of Pleimo or its licensors and may not be copied, imitated, or used, in whole or in part, without the prior written permission of Pleimo

. It is understood that access to the Web Site and the Services may be temporarily discontinued from time to time for maintenance or other reasons and Pleimo will bear no responsibility in this respect, whatever direct or indirect consequences.

Use of the Web Site and the Services is made under the sole responsibility of users who will in no case be entitled to any warranty pertaining to such use and results thereof.

6. GOVERNING LAW.

These general terms and conditions shall be governed by and construed in accordance with the laws Luxembourg.

They set forth the entire agreement between you and the Company pertaining to the use of the Web Site and the Services. Pleimo reserves the right to modify them at any time and at its sole discretion. In such case, revised terms and conditions will be published on the Web Site. It is furthermore agreed that, should one or more provisions become not enforceable or unlawful in any jurisdiction, all other provisions shall stay in full force and effect.
